Identify the clause before setting a closing date
Ask the resort or authorized contact which documents and procedures apply to the exact interest. Marriott Vacations Worldwide reports that many of its interests give it a right of first refusal on secondary sales. Confirm the actual clause for your ownership.
- Which ownership and transaction are covered by the clause?
- Who holds the right and who can provide a binding response?
- What terms and documents must be submitted, and who sends them?
- What starts the response period, and what evidence shows the item is resolved?
Track the outcome in the closing file
| Status | What to confirm before proceeding |
|---|---|
| Applicability unclear | Identify the controlling documents and obtain the appropriate determination. |
| Submitted and awaiting response | Keep the submitted terms and receipt. Confirm the start of any response period and who will follow up. |
| Waiver or other clearance received | Confirm the evidence applies to this ownership, this agreement, and its current terms. |
| Right exercised | Ask the parties and appropriate professionals how the exercise affects the agreement, funds, and next steps. |
| Terms changed | Ask whether the change affects the earlier response or requires a new submission. |
Worked example: price changes after a waiver
The parties receive a response for the first version of the agreement. They later change the price. Keep the first response and both versions, then ask the authorized contact whether the new agreement needs review. Update the closing schedule once that question is resolved.
Illustrative example. The clause and applicable requirements control what happens next.
Distinguish the response from the rest of the transfer
Track the right-of-first-refusal item alongside resort charges, any loan payoff, documents, recording, and ownership confirmation. Ask which evidence each step requires and whether another party is responsible for it.
